1. About These Terms
These Terms of Service ("Terms") govern your access to and use of the KoinArcade website, platform, games, tournaments, content, wallet connectivity features, rewards features, and related services (collectively, the "Platform").
By accessing or using the Platform, creating an account, connecting a wallet, entering a match or tournament, or otherwise interacting with the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
The Platform is operated by KoinArcade (registration pending) ("KoinArcade," "we," "us," or "our").
2. Eligibility
You may use the Platform only if:
• you are at least 18 years old;
• you have the legal capacity to enter into a binding agreement;
• your use of the Platform is lawful where you are located; and
• you are not otherwise prohibited from using the Platform under any applicable law, sanctions restriction, or Platform policy.
You are solely responsible for ensuring that your access to and use of the Platform is lawful in your jurisdiction.
3. Nature of the Platform
KoinArcade is a skill-based online gaming platform. The Platform may allow users to participate in games, matches, tournaments, rankings, promotional activities, and reward programs.
We may offer free-to-play modes, promotional credits, bonus entries, or paid participation features. Specific rules, entry requirements, scoring methods, eligibility standards, and prize details may vary by game, event, or promotion.
We may modify, suspend, remove, or discontinue any game, feature, reward structure, or event at any time.
4. No Gambling or Legal Classification Guarantee
The Platform is intended to operate as a skill-based competitive platform. However, we make no representation, warranty, or guarantee regarding how any regulator, authority, court, payment partner, wallet provider, app store, or third party may classify the Platform, any game, any tournament, or any related activity in your jurisdiction.
You are solely responsible for determining whether your use of the Platform is permitted where you are located.
5. Accounts and Registration
To access certain features, you may be required to create an account, connect a digital wallet, provide an email address, choose a username, or complete other onboarding steps.
You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for:
• maintaining the confidentiality of your login details and connected devices;
• all activity occurring under your account;
• maintaining the security of your wallet, seed phrase, private keys, devices, and authentication methods.
We are not liable for losses arising from unauthorized access to your account or wallet unless caused solely by our willful misconduct.
6. Wallets and Digital Assets
The Platform may allow you to connect third-party wallets and use digital assets, stablecoins, in-platform credits, bonus units, or other value representations.
You acknowledge and agree that:
• wallets are provided by third parties, not by us;
• we do not control blockchain networks;
• blockchain transactions may be delayed, fail, or be irreversible;
• network fees, gas fees, protocol fees, slippage, smart contract risk, wallet errors, bridge errors, and third-party failures may occur;
• loss of wallet access may result in permanent loss of access to associated assets or features.
Unless expressly stated otherwise, KoinArcade does not act as your bank, custodian, trustee, escrow agent, or fiduciary.
7. Fees, Entries, Rewards, and Prizes
Certain Platform activities may require entry fees, credits, tokens, coins, stablecoins, or other participation units.
By participating, you understand and accept that:
• entry requirements may differ by game or tournament;
• reward and prize structures may change;
• promotional credits, bonus units, and free entries may have separate rules, restrictions, expiry periods, or non-withdrawable status;
• prizes may be withheld, adjusted, canceled, or voided in cases of suspected fraud, abuse, error, breach of rules, technical malfunction, prohibited conduct, duplicate accounts, collusion, or legal/regulatory concerns;
• we may impose verification requirements before releasing rewards, prizes, or withdrawals.
All fees, payouts, and prize mechanics are subject to the rules displayed for the relevant feature, match, or tournament.
8. No Guarantee of Availability or Outcome
We do not guarantee that:
• the Platform will be available at all times;
• matchmaking will occur within any particular timeframe;
• tournaments will reach any minimum participation threshold;
• any player will receive rewards, prizes, or earnings;
• any game result, ranking, or leaderboard position will remain unchanged in the event of review, dispute, bug, or enforcement action.
9. Acceptable Use
You agree not to:
• cheat or attempt to gain an unfair advantage;
• use bots, scripts, automation, exploits, reverse engineering tools, overlays, emulators, or unauthorized software;
• collude with other users;
• create multiple accounts for abusive purposes;
• manipulate tournaments, matches, leaderboards, rankings, prizes, or referral systems;
• impersonate another person or misrepresent affiliation;
• interfere with the operation, security, or integrity of the Platform;
• use the Platform for unlawful, abusive, deceptive, or fraudulent purposes;
• attempt to probe, scan, or test the vulnerability of the Platform;
• scrape, copy, or commercially exploit Platform content without permission.
10. Investigations and Enforcement
We reserve the right, at any time and with or without notice, to:
• investigate suspected misconduct;
• request identity, age, location, or source-of-funds information where appropriate;
• suspend or restrict access;
• cancel matches, entries, or tournaments;
• void results, rewards, withdrawals, or prizes;
• reclaim improperly granted credits, bonuses, or rewards where technically and legally possible;
• terminate accounts.
Our decisions on integrity, fair play, eligibility, security, and abuse matters are final, except where mandatory law requires otherwise.
11. Verification and Compliance Checks
We may require additional verification before allowing access to certain features or before processing withdrawals, prizes, or account reinstatement.
We may also restrict or refuse access where we reasonably believe it is necessary for fraud prevention, sanctions compliance, anti-abuse measures, legal risk management, or platform integrity.
12. Taxes
You are solely responsible for determining and paying any taxes, duties, levies, or reporting obligations arising from your use of the Platform, including rewards, prizes, or digital asset activity.
13. Intellectual Property
The Platform, including its design, branding, text, graphics, software, audio, video, game presentation, and other content, is owned by or licensed to KoinArcade and is protected by applicable intellectual property laws.
Except for limited personal use of the Platform as permitted by these Terms, no rights are granted to you.
14. User Content
If you submit usernames, profile information, feedback, reviews, tournament names, community posts, or other content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to host, use, reproduce, display, modify, and distribute that content for operating, improving, promoting, and securing the Platform.
You represent that you have all rights necessary to submit such content.
15. Third-Party Services
The Platform may rely on or link to third-party services, including wallets, blockchain networks, payment tools, analytics providers, infrastructure providers, and embedded content.
We are not responsible for third-party services and do not endorse or guarantee them.
16. Disclaimers
The Platform is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, uninterrupted service, and error-free operation.
Nothing on the Platform constitutes legal, financial, investment, tax, or professional advice.
17. Limitation of Liability
To the maximum extent permitted by law, KoinArcade and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, digital assets, opportunities, or business interruption, arising out of or related to your use of the Platform.
Our aggregate liability for any claim arising out of or relating to the Platform will not exceed the greater of:
• the amount you paid directly to us in the 3 months preceding the event giving rise to the claim; or
• USD 100.
Some jurisdictions do not allow certain exclusions or limitations, so part of this section may not apply to you.
18. Indemnity
You agree to defend, indemnify, and hold harmless KoinArcade and its affiliates, personnel, and partners from and against claims, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising out of or related to:
• your use of the Platform;
• your breach of these Terms;
• your violation of any law or third-party right;
• your fraud, misconduct, negligence, or abusive behavior.
19. Suspension and Termination
We may suspend or terminate your access at any time if we believe you have breached these Terms, created risk for the Platform, exposed us to liability, or engaged in prohibited conduct.
Upon termination, rights granted to you under these Terms cease immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, disputes, and enforcement rights.
20. Changes to the Platform or Terms
We may update the Platform and these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated.
Your continued use of the Platform after updated Terms are posted constitutes acceptance of the revised Terms.
21. Governing Law and Disputes
These Terms are governed by the laws of Malta, excluding its conflict of law rules.
Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Valletta, Malta, unless mandatory law requires otherwise.
Optional arbitration version instead: "Any dispute arising out of or relating to these Terms or the Platform shall be finally resolved by binding arbitration administered in Valletta, Malta in the English language by one arbitrator."
